President & Chief Executive Officer

Sally Eyre, Ph.D DIC was appointed to the position of President and Chief Executive Officer and Director of Etruscan Resources Inc. on March 1, 2010. Dr. Eyre is a mining finance professional with extensive experience in global resource capital markets and has held executive positions with a number of Canadian resource companies. Dr. Eyre has a Ph.D in Economic Geology from the Royal School of Mines, Imperial College, London, and is a member of the Society of Economic Geologists.

Chief Financial Officer

Paul Coombs, B.Comm, CMA, CGA, MBA joined Etruscan Resources Inc. as Chief Financial Officer in December 2009. Mr. Coombs has over 15 years experience in the financial management of both public and private companies. Mr. Coombs brings a wealth of mining-related financial experience to Etruscan, having worked with Falconbridge, Noranda and Xstrata, where he held senior financial management positions. Mr. Coombs left Xstrata in 2008 to join Aurora Energy Resources Inc. as Chief Financial Officer and Corporate Secretary. Mr. Coombs holds a B.Comm from Memorial University (1994) and MBA from Laurentian University (2006).

| | | Stephen R. Stine
Chief Operating Officer

Stephen R. Stine of Denver, Colorado is the founder and President of Stine Consulting LLC, a company he formed in 2000 to provide consulting services to the mining sector. Mr. Stine has over 37 years experience as an officer, director, manager, developer and operator in the mining industry. His operational experience as a Professional Mining Engineer spans a variety of commodities including base and precious metals, uranium and molybdenum throughout the United States, Mexico, Europe, Asia, Central and South America and Africa. In 2005, Mr. Stine acted as Project Manager for Gold Fields Ltd. when that company was undertaking the pre-feasibility study on the Essakane Gold Project in Burkina Faso which is currently being developed by Iamgold. Mr. Stine was a co-founder of Alamos Gold Inc. where he oversaw the feasibility study and development of the 15,000 tpd Mulatos Gold Mine in Mexico which has current reserves in excess of 1.6 million ounces. Mr. Stine's professional career dates back to 1972 when he joined the Climax molybdenum mining operations of AMAX and later went on to hold progressively more senior management positions with the operations of Cyprus Minerals Company at Thompson Creek, Twin Buttes and Bismark up until 1991. He was General Manager of the 45,000 tpd Paradise Peak Gold Mine with FMC Gold from 1991-1994. Since 1994 Mr. Stine has held a number of senior executive management positions including President of New Millennium Mining, Vice President Operations of First Dynasty Mines, President and CEO of Laguna Gold, Chief Operating Officer Alamos Gold, and VP Corporate Development Tournigan Gold. Mr. Stine is a graduate of the Colorado School of Mines in Metallurgical Engineering and is currently Director, President and CEO of Mega Moly Inc.

Vice President Exploration

Werner Claessens has over 20 years of experience in gold exploration throughout West Africa and has been involved in the discovery of three of the larger gold deposits in West Africa; Sadiola Hill and Morila in Mali and Samira Hill in Niger. Mr. Claessens joined Etruscan as Director of Exploration for West Africa in 1997 and was appointed Vice President Exploration in 2007. He holds a License in geological sciences from the Katholicke Universiteir Leuven, Belgium.

Vice President, General Counsel & Secretary

Prior to joining Etruscan full time in July 2004, Ms. Stairs was a partner with the law firm of Patterson Palmer located in Halifax, Nova Scotia. Ms. Stairs practiced law in private practice for 19 years specializing in corporate finance, securities and resource-related issues for private and public companies. Ms. Stairs holds a law degree from Dalhousie University in Halifax, Nova Scotia and a Masters in Business Administration from Queen's University in Kingston, Ontario.

Director, Chair Board of Directors Gerald J. McConnell has been a director and the chairman of the board of Etruscan since June 1990. From June 1990 to February 2010, Mr. McConnell was the chief executive officer and president of the Company. From December 1984 to January 1998, Mr. McConnell was the president of NovaGold Resources Inc. He has been a director of NovaGold Resources Inc. (TSX/AMEX) since 1984. Mr. McConnell was called to the bar of Nova Scotia in 1971 and was an associate and partner with the law firm, Patterson Palmer, in Halifax, Nova Scotia from 1971 to 1987.

Nominating Committee Neil Woodyer is the founder and Chief Executive Officer of Endeavour Financial. He is responsible for managing Endeavour's gold operations as well as its corporate advisory business. His experience in the natural resource business spans more than thirty years, including Chief Executive Officer positions with Lloyds International Trading, a subsidiary of Lloyds Bank specializing in project and trade finance and commodity trading and Amalgamet's group of New York and Latin American based metal trading and mining finance companies. Mr. Woodyer is a director of a number of public companies and is a Fellow of the Institute of Chartered Accountants in England and Wales.

Director, Chair Audit Committee; Chair Health, Safety & Environment Committee John Clarke has been a director of the Company since October 2009. Dr. Clarke is executive director of PMI Gold Corporation, a non-executive director of Banro Corporation, Mediterranean Resources Limited and Great Quest Metals Ltd. Most recently, he held the positions of director, vice-chairman and chief executive officer of Nevsun Resources Ltd. ("Nevsun"), an exploration and development company engaged in gold and base metals exploration in Africa. Prior to joining Nevsun in 1997, Dr. Clarke was an executive director of Ashanti Goldfields Company Limited of Ghana ("Ashanti"). He joined Ashanti in 1982 and contributed to establishing Ashanti's gold exploration program throughout sub-Saharan Africa. Dr. Clarke holds a B.Sc. in metallurgy from University College Cardiff, a Ph.D. in metallurgy from Cambridge University and an M.B.A. from the University of Middlesex. Mediterranean Resources Limited was ceased traded April 21, 2005 due to late filing on December 31, 2005 financial statements. The cease trade was revoked on August 17, 2005 upon filing on all necessary financial statements.

Director Rick Van Nieuwenhuyse has been a director of the Company since May 1999 and was President and Chief Operating Officer of the Company from December 1997 to May 1999. Mr. Van Nieuwenhuyse is President and Chief Executive Officer of NovaGold Resources Inc. Mr. Van Nieuwenhuyse was previously associated with Placer Dome Inc. from 1990 to 1998. He was Vice-President Exploration Africa, Eurasia of Placer Dome Exploration Inc., a subsidiary of Placer Dome Inc., from January 1994 to November 1997. He served in the position of Vice-President and General Manager of Placer Kazakhstan Limited from June 1995 to December 1995, and served in the position of Alaska District Manager of Placer Dome U.S. Inc. from January 1990 to December 1995, both of which companies are subsidiaries of Placer Dome Inc. Mr. Van Nieuwenhuyse is also a director of Alexco Resources Corp. (TSX-V), TintinaGold Resources Inc. (TSX-V) and AsiaBaseMetals Inc. (TSX-V).

Director Frank Giustra has been a director of the Company since October 2009. Mr. Giustra is the president and chief executive officer of Fiore Financial Corporation, a private boutique merchant baking firm, and an exclusive advisor to Endeavour Financial Corporation. As president and later chairman and chief executive officer of Yorkton Securities Inc. in the 1990s, he spearheaded equity investments of more than $3 billion in the international resource sector. Subsequently, Mr. Giustra founded Lions Gate Entertainment Corporation, now one of the world's largest independent film companies. Mr. Giustra was appointed chairman of Endeavour Financial Corporation in 2001 and his vision and leadership led to the successful launch of numerous resource companies, including Wheaton River Minerals Ltd. which was acquired by Goldcorp Inc. Mr. Giustra is a member of the board of trustees of the William J. Clinton Foundation and International Crisis Group and is a director of the Radcliffe Foundation. In June 2007, Frank Giustra and Former President Bill Clinton launched the Clinton Giustra Sustainable Growth Initiative (CGSGI). The CGSGI will focus on alleviating poverty in the developing world in partnership with the global mining community.

Director Gordon Keep has been a director of the Company since October 2009. He has extensive business experience in investment banking and creating public natural resource companies. Mr. Keep currently is Executive Vice-President of Fiore Financial Corporation, a private boutique merchant banking firm. He also serves as an officer and/or director for several natural resource companies. From January 2001 to July 2007, Mr. Keep was Managing Director of Corporate Finance at Endeavour Financial Corporation, September 1997 until March 2004, he was Senior Vice President and a director of Lions Gate Entertainment Corp., and from April 1987 until October 1997, he was Vice President, Corporate Finance in the Natural Resource group of Yorkton Securities Inc.

Director David Street has been a director of the Company since October 2009. Mr. Street is a managing director, debt finance of Endeavour Financial Limited ("Endeavour") and is responsible for Endeavour's debt finance advisory business, including the sourcing, structuring and arrangement of finance for resource companies. Prior to joining Endeavour, Mr. Street spent a total of 13 years with NM Rothschild & Sons Limited, in London and Denver. Most recently, he was a Director and Head of Mining & Metals at Rothschild. Mr. Street also worked as a Director of the mining finance team at Société Générale for two years. He has significant experience in structuring, arranging and advising on financings for mining projects and companies in Africa and around the world.
